IMPORTANT LEGAL NOTICE: Please read these Terms and Conditions carefully before using the Styailist Platform. By accessing or using the Platform, you agree to be bound by these Terms.
1. DEFINITIONS AND INTERPRETATION
In these Terms and Conditions ("Terms"), the following definitions apply unless the context requires otherwise:
- "Styailist," "we," "us," or "our" means Styailist Ltd., a company incorporated under the laws of England and Wales;
- "Platform" means the Styailist website, mobile application, APIs, tools, and all associated services and features;
- "User" means any individual or entity that accesses or uses the Platform, including Consumers and Brand Partners;
- "Consumer" means an individual who accesses the Platform for personal, non-commercial styling and fashion discovery purposes;
- "Brand Partner" means a company, agency, or commercial entity that accesses the Platform to promote products, run campaigns, or use Styailist's commercial services;
- "Content" means all text, images, video, audio, data, styling recommendations, brand assets, user-generated content, and any other materials available on or through the Platform;
- "User Content" means any content submitted, uploaded, or shared by a User via the Platform;
- "Intellectual Property Rights" means all patents, trade marks, service marks, design rights, copyright, database rights, trade secrets, know-how, and all other intellectual property rights, whether registered or unregistered;
- "Applicable Law" means all laws, regulations, regulatory guidance, and codes of practice applicable to a party's use of the Platform, including but not limited to the UK GDPR, the Data Protection Act 2018, the Consumer Rights Act 2015, the Electronic Commerce (EC Directive) Regulations 2002, and the Advertising Standards Authority (ASA) codes.
References to a "clause" are to a clause of these Terms. Headings are for convenience only and do not affect interpretation.
2. ACCEPTANCE AND ELIGIBILITY
2.1 Acceptance
By accessing or using the Platform in any way — including browsing, registering, uploading content, or transacting — you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform.
2.2 Eligibility
To use the Platform as a Consumer, you must be at least 16 years of age. Users aged 16 or 17 must have obtained parental or guardian consent. Users must not use the Platform for any unlawful purpose. By using the Platform, you represent and warrant that you meet these requirements.
To register as a Brand Partner, you must: be a duly incorporated legal entity; have the authority to bind that entity to these Terms; not be the subject of sanctions, debarment, or regulatory enforcement action that would prohibit use of the Platform; and comply with all advertising, marketing, and consumer protection laws applicable in the jurisdictions you target.
2.3 Account Registration
Users must register for an account to access the full features of the Platform. You agree to: provide accurate, current, and complete information during registration; maintain and promptly update your account information; keep your login credentials confidential and not share them with any third party; notify us immediately at support@styailist.com upon becoming aware of any unauthorised use of your account; and be solely responsible for all activities that occur under your account.
Styailist reserves the right to refuse registration or suspend or terminate any account that we reasonably believe is in breach of these Terms or applicable law.
3. PLATFORM LICENCE AND PERMITTED USE
3.1 Licence Grant
Subject to your compliance with these Terms, Styailist grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal (Consumer) or internal business (Brand Partner) purposes. This licence does not include the right to: sublicence, resell, or commercialise the Platform or its Content; scrape, crawl, or systematically extract data from the Platform using automated means; reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform; or frame or mirror any part of the Platform on any other server or device.
3.2 Prohibited Uses
You must not use the Platform to:
- Violate any applicable law, regulation, or third-party right;
- Upload, transmit, or share content that is defamatory, obscene, discriminatory, harassing, threatening, fraudulent, deceptive, or otherwise objectionable;
- Impersonate any person or entity or misrepresent your affiliation with any person or entity;
- Introduce viruses, malware, or other harmful code;
- Interfere with or disrupt the integrity or performance of the Platform or its infrastructure;
- Attempt to gain unauthorised access to any part of the Platform or its associated systems;
- Engage in any activity that could expose Styailist or its users to legal liability or reputational harm;
- Harvest or collect personal data about other users without their explicit consent;
- Use the Platform to promote competing services or products without prior written authorisation from Styailist.
4. CONSUMER-SPECIFIC TERMS
4.1 Styling Services
Styailist provides personalised styling recommendations powered by proprietary AI and machine learning systems. All recommendations are provided for informational and inspiration purposes only and do not constitute professional fashion advice. Styailist does not guarantee that recommendations will meet your personal requirements or expectations. You are solely responsible for any purchasing decisions you make based on Platform recommendations.
4.2 Virtual Wardrobe
The virtual wardrobe feature allows you to upload images of your existing clothing and manage your wardrobe digitally. By uploading images, you grant Styailist a limited licence to store and process those images for the purpose of providing the service to you. Images you upload are not used to train Styailist's AI models without your explicit consent. You are responsible for ensuring that you own or have the right to use any images you upload.
4.3 Purchases and Transactions
Where the Platform facilitates purchases from brand partners or third-party retailers ("Purchases"), the following applies: the contract for any Purchase is between you and the relevant brand or retailer, not Styailist; Styailist acts as an intermediary platform and is not a party to the purchase contract; pricing, availability, delivery, returns, and refunds are governed by the relevant brand or retailer's terms; Styailist accepts no liability for any Purchase you make through the Platform, including in relation to product quality, delivery failure, or transaction disputes.
4.4 Consumer Rights
Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable consumer protection legislation. Where you have a dispute with a brand or retailer regarding a transaction, you should contact them directly. Styailist may assist in facilitating communication but has no legal obligation to intervene in transactional disputes between consumers and third parties.
5. BRAND PARTNER-SPECIFIC TERMS
5.1 Brand Partner Agreement
Brand Partners are also subject to a separate Brand Partner Agreement ("BPA"), which supplements these Terms. In the event of any conflict between these Terms and the BPA, the BPA shall prevail in respect of Brand Partner-specific matters. All Brand Partners must execute the BPA prior to accessing Brand Partner features on the Platform.
5.2 Campaign Content and Compliance
Brand Partners are solely responsible for all content they submit to the Platform in connection with campaigns, including images, copy, product listings, and promotional materials ("Campaign Content"). By submitting Campaign Content, the Brand Partner warrants and represents that:
- It owns or has all necessary rights and permissions to use the Campaign Content;
- The Campaign Content complies with all applicable advertising, marketing, consumer protection, and intellectual property laws;
- The Campaign Content does not contain false, misleading, or deceptive claims;
- The Campaign Content complies with the ASA CAP and BCAP Codes (or equivalent applicable codes) and, where influencer marketing is involved, the FTC Endorsement Guides or equivalent;
- The Campaign Content does not infringe the rights of any third party;
- All pricing, availability, and promotional claims are accurate and fully complied with at the time of publication.
Styailist reserves the right to review, reject, remove, or suspend any Campaign Content that it reasonably believes is in breach of the above warranties or that may expose Styailist to legal liability, without liability to the Brand Partner.
5.3 Brand Partner Fees and Payment
Brand Partners are subject to fees as set out in the applicable Brand Partner Agreement or Order Form. All fees are due in accordance with the agreed payment schedule. Styailist reserves the right to: suspend Platform access where payment is overdue by more than 14 days; charge interest on late payments at the rate of 8% per annum above the Bank of England base rate, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998; and pursue outstanding fees through appropriate legal channels.
All fees are exclusive of VAT and any other applicable taxes, which shall be payable by the Brand Partner in addition to the stated fee at the prevailing rate.
5.4 Brand Partner Data Obligations
Where Brand Partners upload or submit consumer or personal data to the Platform, they are the data controller of that data and must comply with all applicable data protection laws. Brand Partners must ensure that: they have a lawful basis for sharing data with Styailist; data subjects have been notified of and, where required, have consented to the sharing; and they have executed a Data Processing Agreement (DPA) with Styailist prior to submitting any personal data.
5.5 Exclusivity and Non-Compete
Unless expressly agreed in writing in the Brand Partner Agreement, nothing in these Terms creates any exclusivity arrangement between a Brand Partner and Styailist. Styailist reserves the right to work with any brand, retailer, or commercial entity on the Platform, including competitors of a Brand Partner. Any exclusivity provisions will be expressly stated in the Brand Partner Agreement and are subject to additional fees.
6. USER CONTENT
6.1 Licence to Styailist
By submitting, uploading, or posting any User Content on the Platform, you grant Styailist a worldwide, royalty-free, non-exclusive, sublicensable, perpetual licence to use, store, reproduce, modify (for formatting purposes only), distribute, display, and perform that User Content in connection with operating and improving the Platform. You retain ownership of your User Content and this licence does not extend to using your User Content in external advertising without your explicit consent.
6.2 User Content Standards
You are solely responsible for all User Content you submit. You warrant that your User Content: is accurate and not misleading; does not infringe any third-party intellectual property, privacy, or other rights; does not contain content that is unlawful, defamatory, discriminatory, harassing, or obscene; and does not violate any applicable law or regulation.
6.3 Takedown
Styailist reserves the right to remove or disable access to any User Content that, in its reasonable judgment, violates these Terms, infringes third-party rights, or is otherwise objectionable, without prior notice and without liability.
7. INTELLECTUAL PROPERTY
7.1 Styailist Intellectual Property
The Styailist name, logo, and all associated marks are trade marks of Styailist Ltd. Unauthorised use of these marks is strictly prohibited.
7.2 Brand Partner Intellectual Property
All Intellectual Property Rights in Brand Partner Content (including brand assets, creative materials, product images, and campaign content) remain the sole property of the Brand Partner or its licensors. The Brand Partner grants Styailist a limited, non-exclusive licence to use Brand Partner Content solely for the purpose of delivering the agreed Platform services. Styailist will not use Brand Partner Content for any other purpose without prior written consent.
7.3 AI-Generated Outputs
Where Styailist's AI systems generate styling recommendations, trend reports, or other outputs ("AI Outputs") in connection with a User's account or a Brand Partner's campaign, such AI Outputs may be treated as Platform Content owned by Styailist, unless otherwise agreed in writing. Consumers may use AI Outputs for personal purposes only. Brand Partners may use AI Outputs in accordance with the Brand Partner Agreement.
7.4 Feedback
If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant Styailist a royalty-free, perpetual, irrevocable, worldwide licence to use that Feedback for any purpose without obligation of confidentiality or compensation to you.
8. CONFIDENTIALITY
8.1 Mutual Obligations
Each party agrees to keep confidential any non-public information received from the other party in connection with the Platform or the commercial relationship ("Confidential Information"), and not to disclose such information to any third party without the other party's prior written consent, except: where required by law or court order (with prompt advance notice to the other party where permitted); to employees, contractors, or advisers who need to know it and who are bound by equivalent confidentiality obligations; or where the information is or becomes publicly available through no fault of the receiving party.
8.2 Brand Partner Confidentiality
Styailist's commercial terms, pricing, platform architecture, data models, and business strategy disclosed to Brand Partners in the course of the commercial relationship are Styailist's Confidential Information and must be treated accordingly. Breach of this clause may result in immediate account suspension and legal action.
9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 Platform Provided As-Is
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STYAILIST MAKES NO WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STYAILIST'S TOTAL AGGREGATE LIABILITY TO ANY USER (WHETHER IN CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY THE RELEVANT USER TO STYAILIST IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (GBP 100).
9.3 Excluded Losses
IN NO EVENT SHALL STYAILIST BE LIABLE FOR: LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS; INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; OR LOSSES ARISING FROM THIRD-PARTY PRODUCTS OR SERVICES ACCESSED VIA THE PLATFORM, EVEN IF STYAILIST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES.
9.4 Consumer Rights Preserved
Nothing in these Terms limits or excludes Styailist's liability for: death or personal injury caused by Styailist's negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law. For Consumers, nothing in these Terms affects rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Styailist Ltd. and its officers, directors, employees, contractors, licensors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: your use of or access to the Platform; your User Content or Campaign Content; your breach of these Terms or any applicable law; your breach of any third-party rights, including Intellectual Property Rights or privacy rights; or any dispute between you and another user or third party.
Styailist reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with Styailist's defence.
11. THIRD-PARTY SERVICES AND INTEGRATIONS
The Platform may integrate with or provide links to third-party services, platforms, and applications ("Third-Party Services"). Styailist does not control, endorse, or assume responsibility for any Third-Party Services or their content. Your use of Third-Party Services is subject to the applicable third party's terms and privacy policies. Styailist shall not be liable for any loss or damage arising from your use of or reliance on any Third-Party Service.
12. PAYMENT PROCESSING
All payments processed through the Platform are handled by PCI-DSS compliant third-party payment processors. Styailist does not store, access, or process full payment card numbers. By submitting payment information, you authorise the relevant payment processor to process your payment in accordance with their terms. Styailist is not responsible for errors, delays, or failures in payment processing by third-party providers.
13. SUSPENSION AND TERMINATION
13.1 Suspension by Styailist
Styailist reserves the right to suspend or restrict your access to the Platform, without prior notice, if we have reasonable grounds to believe that: you have breached these Terms or any applicable law; your account has been compromised or is being used fraudulently; your use of the Platform poses a risk to the Platform, other users, or third parties; or a regulatory or legal obligation requires it.
13.2 Termination by Styailist
Styailist may terminate your account and access to the Platform at any time by giving 30 days' written notice, or immediately in cases of material breach, repeated violations, or where continued access poses a legal or security risk.
13.3 Termination by You
Consumers may close their account at any time via the account settings page. Brand Partners may terminate their account in accordance with the notice provisions in the Brand Partner Agreement. All outstanding fees remain due upon termination.
13.4 Effect of Termination
Upon termination: the licence granted to you under Clause 3.1 immediately terminates; you must cease all use of the Platform and Styailist's Intellectual Property; Styailist will retain and process your data in accordance with its Privacy Policy and applicable law; and provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, indemnification, and dispute resolution) shall continue to apply.
14. DISPUTE RESOLUTION
14.1 Informal Resolution
Before initiating any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms or the Platform ("Dispute") through direct negotiation. A party wishing to raise a Dispute must give written notice to the other party describing the Dispute in reasonable detail. The parties shall attempt to resolve the Dispute within 30 days of such notice.
14.2 Mediation
If a Dispute cannot be resolved through informal negotiation within 30 days, either party may refer the Dispute to non-binding mediation administered by a mutually agreed mediator or, failing agreement, by the Centre for Effective Dispute Resolution (CEDR) under its mediation procedures. The costs of mediation shall be shared equally between the parties.
14.3 Litigation
If mediation fails to resolve the Dispute, either party may pursue legal proceedings in accordance with Clause 17.2.
14.4 Consumer ADR
Consumers who have a dispute with Styailist that cannot be resolved through the above process may have the right to refer the dispute to an approved Alternative Dispute Resolution (ADR) provider. Information about applicable ADR schemes will be provided upon request and in compliance with the Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015.
15. MODIFICATIONS TO THE PLATFORM AND TERMS
15.1 Changes to the Platform
Styailist reserves the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. Styailist shall not be liable to any User for any modification, suspension, or discontinuation of the Platform.
15.2 Changes to These Terms
Styailist may update these Terms at any time. Material changes will be communicated to registered users by email and/or prominent notice on the Platform at least 30 days before the new Terms take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not accept the revised Terms, you must cease using the Platform and close your account. For Brand Partners, material changes to commercial terms are subject to the provisions of the Brand Partner Agreement.
16. FORCE MAJEURE
Styailist shall not be in breach of these Terms and shall not be liable for any delay or failure to perform any obligation under these Terms where such delay or failure results from circumstances beyond Styailist's reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, government action, cyberattacks or distributed denial-of-service attacks, failure of third-party infrastructure, or labour disputes. Styailist will notify affected Users and take reasonable steps to mitigate the impact of such events.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Brand Partner Agreement (where applicable), and Data Processing Agreement (where applicable), constitute the entire agreement between the parties in relation to the Platform and supersede all prior agreements, representations, and understandings. No oral statements or prior written materials not incorporated herein shall be of any force or effect.
17.2 Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to Clause 14, each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising out of or related to these Terms.
17.3 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed from the Terms if modification is not possible, and the remaining provisions shall continue in full force and effect.
17.4 Waiver
No failure or delay by Styailist in exercising any right under these Terms shall constitute a waiver of that right. A waiver of any breach of these Terms shall not be deemed a waiver of any subsequent breach.
17.5 Assignment
Styailist may assign or transfer its rights and obligations under these Terms, in whole or in part, to any affiliate, successor, or acquirer without restriction. You may not assign or transfer your rights or obligations under these Terms without Styailist's prior written consent.
17.6 Notices
Legal notices to Styailist must be sent in writing by email to legal@styailist.com or by registered post to the registered address of Styailist Ltd. Notices to Users may be given by email to the registered account address or by in-Platform notification.
17.7 Third-Party Rights
These Terms do not create any rights in favour of any third party under the Contracts (Rights of Third Parties) Act 1999, except that Styailist's affiliates, directors, employees, and contractors may enforce any term of these Terms that expressly confers a benefit on them. All other third-party enforcement rights are excluded.
17.8 Language
These Terms are written in English. In the event of any inconsistency between the English version and any translated version, the English version shall prevail.
